This webinar shall provide a discussion regarding Republic Act No. 9856, otherwise known as the Real Estate Investment Trusts ("REIT") Law as well as the recent Department Orders issued by the Department of Human Settlements and Urban Development ("DHSUD") which are aimed to assist the real estate sector with the effects of the COVID-19 pandemic.


The first part of the webinar shall provide an introduction and discussion of the REIT Law's salient provisions, including the Revised Implementing Rules and Regulations which were issued by the Securities and Exchange Commission early this year. The discussion will tackle the requirements for forming REITs, investments in REITs, as well as the allowable investments for REITs. The session will also provide a discussion on the tax incentives under the REIT Law as well as the various tax implications on various transactions concerning REITs in light of the TRAIN Law.


The second part of the webinar shall discuss the guidelines issued by the DHSUD for the resumption of the real estate business, construction and activities covered by the DHSUD. It shall also provide a discussion on issuances regarding additional time for completion of projects affected by stoppage of development as well as the adoption of emergency measures during the community quarantine.

    Atty. Richard Henrick I. Beltran, Jr. is a Senior Associate with seven years of experience in corporate and commercial law. His practice areas include corporate law, mergers and acquisitions, real estate, foreign investments, banking and financial services, energy, mining and natural resources and data privacy.

    Atty. Beltran has extensive experience in conducting due diligence, negotiating contracts, and preparing relevant documents for mergers and acquisitions of companies across multiple industries. He has assisted multiple clients in the conduct of asset due diligence, as well in the sale, purchase, and lease of real and personal properties.

    Atty. Beltran is currently part of the team advising a consortium of banks in relation to the corporate rehabilitation of a major shipbuilding company. He also handles various project financing deals for the development of renewable power plants and the roll-out of telecommunications infrastructures in the Philippines. He has also rendered legal advice for various companies, both local and foreign, in the energy industry, including the preparation and review of Engineering, Procurement and Construction (EPC) contracts, due diligence and compliance with regulatory requirements.

    Atty. Beltran has represented clients before numerous government agencies, including the Philippine Competition Commission, the Bangko Sentral ng Pilipinas, the Philippine Contractors Accreditation Board and the Department of Labor and Employment.

    He obtained his Juris Doctor degree from the University of the Philippines. He received his Bachelor of Arts degree in Political Science from the same university, where he graduated cum laude. He was admitted to the Philippine Bar in 2014.

    Atty. Anderson has been involved in extensive negotiation, drafting and review of corporate and commercial agreements including shareholders’ agreements, joint venture agreements, lease contracts, sale of assets and/or shares, contracts for construction of commercial and industrial buildings or facilities, and loan and security agreements, in relation to M&A transactions and the conduct of due diligence reviews of companies in various industries. With at least 7-years of experience in the field of local and national taxation, she specializes and routinely provides various tax services for clients in banking & capital markets, real estate, telecommunications, services, manufacturing, retail, companies involved in oil and gas exploration, as well as holding and investment companies.

    Mandy is a part-time lecturer at the Ateneo de Manila University where she teaches Legal Accounting. She was also a part-time lecturer of Taxation on Mergers and Acquisitions of the FEU-De La Salle MBA-JD Program.

    Mandy obtained her Juris Doctor degree with Honors from the Ateneo de Manila University in 2015 where she was appointed as the Head of Taxation Review for the Ateneo Central Bar Operations. She graduated 5th of her class and likewise placed 5th in the Philippine Bar Examinations in 2016. Mandy graduated magna cum laude from the University of San Carlos with a Bachelor of Science degree in Accountancy.

    Locally, she is also part of the corporate practice team advising a major Philippine bank on the restructuring of real estate loans. In 2019, Marie was part of the team that successfully defended a water license application before the National Water Resources Board.

    Marie obtained her Juris Doctor degree from the University of the Philippines. She graduated cum laude with a Bachelor of Arts degree in Broadcast Communication from the same university. Marie has also attended advanced courses in Private International Law at the Hague Academy of International Law (Académie de droit international de La Haye) in The Hague, Netherlands.
